I. Field of application
The GS dealer portal - http://b2b.gottfried-schultz.de - is an Internet service of Gottfried Schultz GmbH & Co. KG. Gottfried Schultz GmbH & Co. KG is represented by Gottfried Schultz Beteiligungsgesellschaft mbH, which in turn is represented by its managing directors Nicholas J. Dunning, Dirk Weddigen von Knapp, Jürgen Schönbrunn, Markus Ludewig and Dieter Paffendorf, Kaiserswerther Straße 115, D-40880 Ratingen, Germany.
The use of this Internet service is reserved exclusively for commercial users.
The following Standard Terms of Business shall apply between Gottfried Schultz GmbH & Co. KG (hereinafter called "GS") and its commercial users activated for the use of its dealer portal (hereinafter called "dealers").
We reserve the right to make changes to the STBs. These shall be published on the Internet site http://b2b.gottfried-schultz.de. In addition, changes to the STBs shall be sent by e-mail to dealers with a note stating that the changes shall be considered accepted if the dealer does not contradict them within 2 weeks.
II. Abgabe eines Kaufangebots/Concluding the agreement/Transfer of the rights and obligations of the dealer
Die auf dem Internetportal eingestellten Kaufgegenstände stellen ein freibleibendes Angebot der GS zur Abgabe eines Kaufangebots durch den Händler dar.
Der Händler kann durch Anklicken der Schaltfläche „Fahrzeug kaufen“ Kaufangebote auf Kaufgegenstände abgeben. Der Kaufgegenstand wird nach Anklicken der Schaltfläche im Bestand der GS als "Gekauft" vermerkt. Im Anschluss erhält der Händler eine Nachricht an seine hinterlegte E-Mail-Adresse. Im Anhang dieser E-Mail befindet sich eine verbindliche
Kaufanfrage im PDF-Format, welche der Händler, nach Überprüfung ihrer Richtigkeit, unterschrieben an die GS zurückfaxen muss. Erst der Eingang dieses Faxschreibens bei der GS gilt als Abgabe eines rechtsverbindlichen Kaufangebots durch den Händler.
Unter der Rubrik „Meine Fahrzeuge“ kann der Händler Kaufgegenstände, welche für ihn als „Gekauft“ vorgemerkt wurden, wieder löschen. Die GS behält sich vor, den "Gekauft"-Status für einen Kaufgegenstand von sich aus aufzuheben, wenn ihr nicht innerhalb von 24 Stunden nach Anklicken der Schaltfläche „Fahrzeug kaufen“ durch den Händler ein entsprechendes
Kaufangebot per Fax zugeht.
Der Kaufvertrag kommt rechtsverbindlich zustande, when GS confirms to the dealer the binding purchase offer of the purchase object described in more detail, or makes the delivery. GS is obliged to inform the dealer immediately if it does not accept his/her offer.
The transfer of the dealer's rights and obligations resulting from the purchase agreement requires the agreement of GS.
III. Preisrutsche-Verfahren
Die von der GS im Preisrutsche-Verfahren angebotenen Kaufgegenstände unterliegen einem Preisverfall. Der Verkaufspreis dieser Kaufgegenstände wird täglich um 12:00 Uhr gesenkt. Die Mindestlaufzeit für Kaufgegenstände, welche in das Preisrutscheverfahren eingestellt wurden, beträgt 3 Tage ab dem Tag, an dem diese in das Verfahren aufgenommen wurden.
Nach Ablauf der Mindestlaufzeit steht es der GS frei, diese Kaufgegenstände aus dem Preisrutsche-Verfahren zu nehmen.
Die Abgabe eines Kaufangebots, der Vertragsabschluss sowie die Übertragung von Rechten und Pflichten des Händlers richten sich nach Ziffer II.
IV. Payment
The purchase price and the prices for additional services shall fall due when the purchase object is handed over and when the invoice is handed over or sent for payment.
The dealer can then only make an offset against claims by GS if the counterclaim of the dealer is undisputed or if there is a non-appealable title; he/she can only assert the right of retention if this is based on claims from the purchase agreement.
GS may withdraw from the purchase agreement if the dealer defaults on payment.
V. Delivery/Delay in delivery
Delivery dates and deadlines, which can be bindingly or non-bindingly agreed, must be stated in writing. Delivery deadlines shall start on the signing of the agreement.
The dealer can request GS to deliver ten days after a non-binding delivery date or a non-binding delivery deadline has been exceeded. GS shall be in default on receipt of the request.
If the dealer additionally wants to withdraw from the agreement and/or demand compensation instead of performance, he/she must set GS a suitable period for delivery at the end of the deadline concerned in accordance with Paragraph 2 of this section. Claims for compensation are ruled out in the case of slight negligence.
If GS is unable to make delivery by chance whilst it is in default, then it shall not be liable. Furthermore, it shall not be liable if the damage would also have occurred had the delivery been made on time.
If a binding delivery date or a binding delivery deadline is exceeded, GS shall be in default when the delivery date or delivery deadline is exceeded. The rights of the dealer are determined by Paragraphs 3, 4, and 5 of this section.
Acts of God or opperational disruptions for GS vendors or their suppliers which temporarily prevent delivery of the purchase object by the agreed date or by the agreed deadline without themselves being at fault shall alter the dates and deadlines stated in Paragraphs 1 to 5 of this section by the duration of the breakdown in performance caused by these circumstances. If such disruption leads to a delay in delivery of more than four months, the dealer can withdraw from the agreement. Other rights of withdrawal shall remain unaffected.
VI. Collection
The dealer is obliged to collect the purchase object within 10 days of receipt of a notification of readiness. In the case of non-collection, GS can assert its legal rights.
If GS demands compensation, then this shall be 10% of the purchase price. Compensation shall be set higher or lower if GS proves higher damages or the dealer proves that lower damages, or no damages at all, had arisen.
VII. Reservation of proprietory rights
The purchase object shall remain the property of GS until settlement of demands by GS based on the purchase agreement. If GS has further demands against the dealer resulting from its current business relationship, then the reservation of proprietary rights shall continue until all demands are settled.
On the request of the dealer, GS shall be obliged to relinquish its reservation of proprietary rights if the dealer has irrefutably fulfilled all of the demands in association with the purchase object and there is suitable security for any other demands from the current business relationship.
During the duration of the reservation of proprietary rights, GS has the right to hold part II of the registration document (log book).
As long as the reservation of proprietary rights persists, the dealer may neither have access to the purchase object nor contractually grant use of it to third parties.
VIII. Sales warranty
Purchase objects offered by GS are sold exclusively without any warranty.
Zusätzlich wird darauf hingewiesen, dass die angebotenen Fahrzeuge grundsätzlich nicht auf Unfallschäden, atypische Nutzung oder ihre Reimporteigenschaft hin überprüft wurden, sofern nicht schriftlich ein anders lautender Hinweis erteilt wird. Auch insoweit verbleibt es ausdrücklich bei dem Ausschluss jeglicher Sachmängelansprüche.
This section does not apply for claims for comensation; for these claims, the following section, IX. Liability shall apply.
IX. Liability
For damages caused through slight negligence, liability by GS is ruled out. Dealer claims against GS due to violation of their cardinal obligations (significant contractual obligations) shall remain unaffected.
Also ruled out is the personal liability of the legal representatives, agents and employees of GS for damages caused by them through slight negligence.
Independent of any fault of GS, possible liability in the case of malicious silence regarding a shortcoming, from the acceptance of a guarantee or a procurement risk, as well as in accordance with the Product Liability Act, shall remain unaffected.
The liability limitations of this section shall not apply in the case of injury to life, body or health.
Liability due to a delay in delivery is regulated in section V. Delivery/Delay in delivery.
X. Court of jurisdiction/Applicable law
For all current and future claims resulting from the business relationship with dealers, including bills of exchange and cheques receivable, the exclusive court of jurisdiction shall be Düsseldorf.
In the case of disputes between GS and the dealer, the law of the Federal Republic of Germany shall apply to the exclusion of of the UN Convention on Contracts for the International Sale of Goods.
